Sun Summit aims to raise $7.0 million for B.C. exploration
Sun Summit Minerals [SMN-TSXV, SMREF-OTCQB] has announced details of a private placement financing that is expected to raise up to $7.0 million. The company intends to use all of the gross proceeds for exploration at its JD, Theory and Buck properties in British Columbia and any other Canadian properties that Summit may acquire, provided that it uses an amount equal to the proceeds received from the sale of Charity FT shares to incur Canadian exploration expenses that qualify as flow-through mining expenses under the Tax Act.
The private placement will consist of up to 50 million charity flow-through shares priced at 14 cents per Charity FT share. Each Charity FT share will qualify as a flow-through share within the meaning of the Income Tax Act (Canada).
On Wednesday, Sun Summit shares were unchanged at 12 cents and trade in a 52-week range of 26 cents and $0.065.
“This capital will fund our 2026 exploration program and help accelerate our progress towards an initial resource estimate at JD,’’ said Sun Summit CEO Niel Marotta. “The calibre of investors who have agreed to participate in this offering provides additional validation for the quality of the JD Project,’’ he said.
Sun Summit is focused on discovery and advancement of district-scale gold and copper assets in B.C. The company’s diverse portfolio includes the JD and Theory projects in the Toodoggone region and the Buck project in central B.C.
In a February 26, 2025, news release, the company announced an inaugural mineral resource estimate for the Buck Project. Including 19,100 gold equivalent ounces in the indicated category, and 820,400 AuEq in the inferred category. Sun Summit CEO Niel Marotta described the announcement as a major milestone for the company and a strong foundation for further exploration.
However, in 2025, the company elected to concentrate its exploration efforts on the JD project, which covers an area of over 15,000 hectares and lies close to active exploration and development projects, including Thesis Gold’s Lawyers-Ranch project, as well as HDI Amarc’s JOY District.
In January, 2024, Sun Summit entered into a definitive option agreement to acquire a 100% interest in the JD project, which was known to contain numerous under-explored epithermal related gold and silver targets as well as porphyry-related copper-gold targets in an emerging mining district.
The company said the latest drilling results from the 2025 program on the Creek Zone at JD was successful in demonstrating large intervals of near-continuous gold and silver mineralization in the near surface portion of the Creek Zone, highlighting the high-grade gold in veins, while also identifying important structural features. “The final hole of this year’s drill program at the Creek Zone returned the largest gram-metre intercept in both the 2024 and 2025 programs,’’ said Marotta.
The Toodoggone mineral district in north central British Columbia has emerged as an exploration hot spot, attracting both junior companies and major players in the mining industry.
