Tudor Gold unveils details of $10 million LIFE offering
Tudor Gold Corp. [TUD-TSXV, TUC-Frankfurt] has announced details of a brokered LIFE offering which is expected to raise up to $10 million. Net proceeds from the offering will be used for working capital and general corporate purposes.
The company said it has stuck a deal with a syndicate of agents in connection with a brokered, best-efforts listed issuer financing exemption (LIFE) private placement offering of units, each of which will consist of one common share and one half of one common share purchase warrant. Each warrant will entitle the holder to purchase one common share at an exercise price of $1.20 per share for 24 months after closing, which is expected to occur on December 15, 2025.
The agents will be granted an option to increase the size of the offering by up to an additional 15% of the units sold in the offering. That option can be exercised at any time up to two business days prior to closing.
On Tuesday, Tudor Gold shares eased 12.50% or 11 cents to 77 cents and currently trade in a 52-week range of $1.22 and 49 cents.
Tudor Gold’s primary focus is the advancement of its Treaty Creek gold and copper project which is located in British Columbia’s Golden Triangle region.
Tudor holds an 80% interest in the Treaty Creek project, which hosts the Goldstorm deposit, an asset that consists of a large gold-copper porphyry system, as well as several other mineralized zones. The other 20% is held by Teuton Resources Corp. [TUO-TSXV].
Tudor recently completed its 2025 Treaty Creek exploration program, which was designed to target gaps between the 300N and 300H zones, as well as the recently discovered SC-1 Zone. The company said the potential for additional high-grade SC-1 Zone-like structures was also targeted, with results confirming and expanding several high-grade corridors within and surrounding the 300N and 300H zones.
The company said preparation for an updated mineral resource estimate for Treaty Creek is underway. The estimate will include the additional drilling from the 2024 and 2025 exploration programs consisting of 15,000 metres of drill data.
In a press release on August 14, 2025, the company said it had filed a Notice of Work permit application with the BC Ministry of Energy, Mines and Low Carbon Innovation for the underground exploration of Treaty Creek.
The permit application provides for the development of an underground ramp to access the high-grade gold SC-1 Zone and to also access the other zones. Once the ramp is completed, underground drill stations will be excavated to support definition drilling for mine planning purposes and provide for more efficient expansion drilling. Subject to permitting, Tudor plans to commence the underground excavation.
