G3 Goldfields Inc. [GTRE-CSE], a company that holds assets that were spun out by G2 Goldfields Inc. before it was recently acquired by G Mining Ventures Corp. [GMIN-TSXV, GMINF-OTCQB], said it has received confirmation that its shares will commence trading on the CSE on October 26, 2026.

G3 Goldfields is a mineral exploration company with a focus on finding and developing gold projects in Guyan, South America. It was formed via a spinout transaction involving G2 Goldfields in July, 2026. G3 holds multiple drill-ready targets in the prolific Oko-Aremu gold belt and active Puruni gold district. The company says these assets represent compelling early-stage exploration opportunities with exceptional discovery potential in the Guiana. “The founders and principals of the company have been directly responsible for the discovery of more than 11 million ounces of gold in Guyana and area laser focused on making the next major gold discovery in Guyana,’’ the company said in a press release.

Under the spin-out transaction, G3 acquired G2’s interest in the Puruni project in Guyana, which consists of the Tiger Creek, Peters Mine and Property B projects. The transaction was completed pursuant to a plan of arrangement involving G3, G2, and G Mining Ventures. which recently acquired all of the issued and outstanding shares of G2.

G Mining’s acquisition of G2 aims to deliver district-scale consolidation by combining G Mining’s Oko West gold project in Guyana with G2’s Oko-Ghanie Project into a single Tier 1 entity, to be known as the Oko Project. It also combines anticipated life of mine average gold production of approximately 350,000 ounces from G Mining’s Oko West Project and 228,000 ounces from G2’s Oko Ghanie Project into a single operation, producing 500,000 ounces on a life of mine average basis.

Under the spin-out arrangement, G3 was funded with $45 million cash and a contingent value right providing for potential payments to be made to G3 to a maximum amount of US$200 million based on various increments of measured and indicated resources at the mineral properties acquired by G Mining Ventures under the arrangement.

G2 Goldfields previously said it believes its current share price does not fully recognize the value of the non-core assets, and that by completing the proposed spin-out, shareholders will benefit from unlocking the value of those assets.

“The commencement of trading on the CSE marks an important milestone for G3 and the beginning of an exciting new chapter for our shareholders,’’ said G3 Goldfields CEO Daniel Noone. “Following the successful transaction between G2 Goldfields and G Mining Ventures earlier this year, G3 is well positioned to build upon the team’s proven track record of exploration success and value creation in Guyana,’’ he said. “With a strong balance sheet, an extensive portfolio of prospective gold properties and preparations under way for our upcoming exploration programs, we look forward to unlocking the potential of our assets and delivering long term value to shareholders.’’
